A new way of organizing collective investments without forming a legal entity is introduced - an investment partnership agreement. This is a special kind of a simple partnership agreement.

Under such an agreement, two or more persons (partners) undertake to combine their contributions and conduct joint investment activities to make a profit. The term of the contract should not exceed 15 years.

The managing comrades are allocated. They conduct common affairs on behalf of the rest.

The parties to the agreement can be entrepreneurs, commercial, and in cases stipulated by law, non-commercial organizations. Partners are allowed to participate in several investment partnership agreements. It is impossible to restrict this right (including by agreement).

The maximum number of parties to the agreement is 50. It must be certified by a notary.

The rights and obligations of the comrades are consolidated. It has been established how contributions are made, shares in common property are determined, common affairs are conducted. It is forbidden to advertise joint investment activities carried out under a contract, to attract new persons to it through a public offer.

A dedicated investment committee can be created. Its competence has been determined.

Money transferred as payment for shares in common property under one investment partnership agreement must be transferred to a separate bank account.

A partner who is not a manager may fully or partially transfer his rights and obligations to another person. He cannot refuse to participate in the contract during its validity period or until the goal specified in it is achieved. Other may be provided by the contract.
